These Terms of Use (“Terms”) form a binding agreement between Black Paw Kitchen (“Black Paw Kitchen,” “we,” “us,” or “our”) and each individual who accesses our websites, mobile experiences, social channels, communications, and any associated services or purchases our products (“you” or “your”). By visiting or using any portion of our online properties or by purchasing our products (collectively, the “Services”), you agree to these Terms. If you do not agree, do not access or use the Services.

Important Notice: These Terms include an arbitration agreement and a class action waiver (see Section 13). They affect your rights regarding how disputes are resolved.

We may revise these Terms periodically. When we do, we’ll update the “Last Updated” date above. Your continued use of the Services means you accept the revised Terms.

We operate from the United States and provide the Services for use by individuals located in the U.S. We make no representation that the Services are appropriate or available outside the U.S. Access from other locations is at your own risk and you are responsible for compliance with local laws.

1) Eligibility, Accounts & Your Responsibilities

1.1 Eligibility. The Services are intended for individuals 13+ in the United States. Certain features (for example, subscriptions or purchases) may require that you are 18+ and legally able to enter into contracts. We may approve or deny any application or account at our discretion.

1.2 Account Creation. You may browse some areas without an account. To access specific features (e.g., a subscription, order history), you may need to create an account. You agree to provide accurate, current information and to maintain the security of your login credentials. You are responsible for all activity under your account.

1.3 Compliance. You must follow all applicable laws, these Terms, and any posted policies. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms.

1.4 Communications Consent. By contacting us digitally (email, chat, SMS) or using the Services, you consent to receive electronic communications from us, which may include notices about your account, transactions, and marketing. You may opt out of non-transactional emails at any time via unsubscribe links or by contacting [email protected]. See our Privacy Policy for more details.

2) Permitted Use, Ownership & Third-Party Links

2.1 Our Content. Text, images, graphics, logos, designs, product information, data, and other materials we provide (collectively, “Content”) are protected by intellectual property laws. We and our licensors retain all rights in the Services and Content. You’re granted a limited, revocable, non-transferable license to access and use the Services for personal, non-commercial purposes only.

2.2 Restrictions. You may not copy, modify, distribute, sell, reverse engineer, create derivative works from, mine, scrape, or otherwise exploit the Services or Content except as expressly permitted. Any unauthorized use terminates your right to use the Services.

2.3 Links. The Services may link to third-party sites. We do not control or endorse them and are not responsible for their content, security, or practices. Your use of third-party sites is at your own risk.

3) Acceptable Use & Security

You agree not to: (a) violate any law; (b) infringe any third-party rights; (c) upload harmful code; (d) attempt to gain unauthorized access to our systems or accounts; (e) interfere with the operation or security of the Services; (f) use automated tools (including crawlers, bots, or AI agents) to extract data without our written permission; (g) impersonate another person or entity; or (h) engage in abusive, harassing, or deceptive conduct.

We may monitor, restrict, or disable access to protect our users, systems, and rights.

4) Subscriptions, Renewals & Cancellations (If Offered)

4.1 Recurring Plans. If you enroll in a subscription (e.g., recurring deliveries), you authorize recurring charges to your selected payment method at the frequency shown in your account. Pricing, cadences, and next charge dates are displayed in your account dashboard.

4.2 Automatic Renewal. Subscriptions renew automatically until canceled. To avoid the next charge, follow the cancellation instructions in your account before the stated cutoff. If an attempted charge fails, we may retry or ask you to update your payment method.

4.3 Pausing. Where available, you may pause future shipments through your account. Pauses may not be available for orders already in processing.

4.4 Cancellation & Refunds. Unless otherwise stated, subscription fees are non-refundable once a cycle begins. You will continue to receive any benefits through the end of the paid term after cancellation.

5) Orders, Products, Pricing & Payment

5.1 Payment Processing. We use third-party payment processors to process payments. Your use of payment services may be subject to their terms and privacy notices. We are not liable for the processor’s actions or errors.

5.2 Pricing & Changes. Product prices, fees, delivery charges, promotions, and taxes may change at any time. Changes generally apply prospectively following notice. Your continued use or renewal after notice constitutes acceptance.

5.3 Authorizations. Your card issuer may place a temporary authorization hold when you add a payment method or start a subscription. Holds are standard anti-fraud measures and are released by your bank per its policies.

5.4 Order Acceptance & Shipping. We may accept or reject orders in our discretion. Risk of loss passes upon delivery to the carrier. Delivery windows are estimates. We may ship partial orders at no additional cost.

5.5 Availability. All products are subject to availability. We may modify products to reflect updates, legal or regulatory requirements, or minor improvements. Images and descriptions are illustrative only.

6) Promotions, Credits & Referral Programs

From time to time we may offer referral links, store credits, coupons, or other promotions (collectively, “Offers”). Offers are subject to additional terms disclosed at issuance and may be modified, limited, or withdrawn at our discretion. Unless stated otherwise:

Offers are non-transferable, not redeemable for cash, and may expire.

Only one Offer may be used per order and cannot be applied retroactively.

Fraud, misuse, self-referrals, spam, or policy violations may result in cancellation of the Offer, reversal of credits, and/or account action.

Store credits generally apply to future eligible purchases made via your logged-in account and may expire as stated in the Offer.

7) User Content & DMCA

7.1 Submissions. The Services may allow reviews, posts, images, feedback, or other content (“User Content”). By submitting User Content, you grant Black Paw Kitchen a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, create derivative works, publish, and display it for any lawful purpose. You represent you own or control the rights to your User Content and that it complies with these Terms.

7.2 Content Standards. User Content must not be unlawful, defamatory, obscene, hateful, harassing, infringing, deceptive, or otherwise objectionable; must not include private or sensitive information of others; and must not violate any rights.

7.3 Moderation. We may remove, edit, disable, or refuse to post User Content at any time for any reason, without notice.

7.4 Copyright. If you believe your copyrighted work has been used on the Services without authorization, please send a DMCA-style notice to [email protected] with: (a) a description of the work; (b) the location of the allegedly infringing material; (c) your contact details; (d) a statement of good-faith belief; (e) a statement under penalty of perjury of the accuracy of your claim and your authority; and (f) your physical or electronic signature.

8) Nutrition, Allergens & Informational Disclaimers

8.1 Not Veterinary Advice. Any feeding guidance, articles, or communications on the Services are general and informational. They are not a substitute for professional veterinary advice. Monitor your pet’s condition and consult your veterinarian with any concerns.

8.2 Allergens & Variations. Ingredients may include allergens. Always read labels and supervise feeding. Packaging, ingredient statements, and appearance may vary. You are responsible for ensuring the product is appropriate for your pet.

9) Availability, Service Changes & Technology

We may change, suspend, or discontinue any aspect of the Services at any time. We do not guarantee the Services will be uninterrupted or error-free. You are responsible for obtaining and maintaining equipment and connections necessary to access the Services.

10) Warranties, Disclaimers & Limitation of Liability

10.1 Disclaimers. THE SERVICES, CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. We do not guarantee that the Services will be secure, available, or free of errors, viruses, or harmful components.

10.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK PAW KITCHEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS OR REVENUE; OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR PRODUCTS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO BLACK PAW KITCHEN FOR THE SERVICES OR PRODUCTS GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow certain disclaimers or limitations; if those laws apply, the foregoing will be limited to the extent required.

11) Indemnification

You agree to defend, indemnify, and hold harmless Black Paw Kitchen and our affiliates, officers, directors, employees, and agents from any claims, damages, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services or Products; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

13) Dispute Resolution; Arbitration; Class Action Waiver

13.1 Informal Resolution First. Before filing a claim, the parties agree to try to resolve it informally. Send a written notice describing the dispute and requested relief to [email protected]. If the dispute is not resolved within 30 days, either party may proceed as outlined below.

13.2 Binding Arbitration & Waiver. Except for small-claims matters or claims seeking injunctive relief for intellectual property or unauthorized use of the Services, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in a location mutually agreed by the parties (or by video/teleconference, at the arbitrator’s discretion). You and Black Paw Kitchen waive any right to a jury trial and to participate in a class, representative, or consolidated proceeding. The arbitrator may award the same relief as a court on an individual basis.

13.3 Opt-Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending your name, contact information, and a clear statement that you opt out to [email protected]. Your opt-out will not affect your other obligations under these Terms.

13.4 Fees. Each party will pay its own arbitration fees as required by the AAA rules, subject to the arbitrator’s authority to reallocate fees as permitted.

13.5 Severability. If the class-action waiver is found unenforceable, this entire arbitration section will be void as to that dispute, and it will proceed in court. Otherwise, if any part of this section is unenforceable, the remainder will remain in effect.

14) Miscellaneous

14.1 Termination. We may suspend or terminate your access at any time. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, dispute resolution) will continue after termination.

14.2 Injunctive Relief. You agree that we may seek equitable relief (without posting bond) for your breach of these Terms, including any misuse of our IP or the Services.

14.3 Notices. We may provide notices via the Services, email, or your account. You may contact us at [email protected].

14.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Severability; Waiver. If any provision is deemed invalid, the remainder will continue in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

14.6 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, labor disputes, internet failures).

14.7 Entire Agreement; Headings. These Terms constitute the entire agreement between you and Black Paw Kitchen regarding the Services and supersede prior agreements. Headings are for convenience only.
